When a company wishes to issue securities to investors, the issuer must register them with the US Securities and Exchange Commission (SEC) or operate under an exemption.
The same SEC regulations apply to tokens and must be followed, but the fact that all transactions are stored on a blockchain and payments can be processed over digital currency rails makes it far superior.
The most common exemptions are accredited investors (Regulation D), non-US persons (Regulation S) and crowdfunding (Regulation CF) as adopted as part of the JOBS Act.

Tokens purchased by accredited investors in the U.S. may be transferred to other whitelisted accredited investors after 90 days and will become freely transferable to anyone after 12 months.

Once tokens pass these lock-up periods, they can be listed on an exchange so investors can trade their tokens and tokens can be listed on multiple exchanges.
